What does a Private Equity Principal do?

Principals sit between the vice presidents who run deal execution and the partners who make final calls. They manage live transactions end to end: setting the diligence plan, directing the deal team, negotiating with sellers and lenders, and writing the investment committee memo. They are also expected to start bringing in their own deal flow by building relationships with founders, bankers and industry executives.

After a deal closes, principals often take a board observer or board seat at portfolio companies. They track performance against the investment plan, work with management on add-on acquisitions and refinancings, and help prepare companies for sale. Principals are evaluated on whether they can do the partner job, so they also take part in fundraising meetings and recruiting.
