Getting in
How to become a Restructuring Banker
Most restructuring bankers begin in an analyst program at a bank or advisory firm with a dedicated restructuring group, after a bachelor's degree in finance, economics or accounting. Some move over from bankruptcy law, distressed credit research or turnaround consulting. Strong accounting and legal reading skills matter because the work turns on credit agreements and bankruptcy rules.
Investment bankers who advise on securities transactions must register with FINRA, which usually means passing the Securities Industry Essentials exam and the Series 79 Investment Banking Representative exam after a firm sponsors you. Many bankers deepen their knowledge through the American Bankruptcy Institute and the Turnaround Management Association, which also offers turnaround credentials.

The work
What does a Restructuring Banker do?
Restructuring bankers step in when a company is running out of cash or cannot refinance its debt. Working for the company, or for a group of lenders or bondholders, they figure out how much the business is really worth, how much debt it can carry, and who should get what. They build liquidity forecasts and recovery analyses and design proposals such as debt exchanges, new financing or a conversion of debt into equity.
Much of the job is negotiation. Restructuring bankers sit between creditor groups, owners and management, trying to reach a deal out of court or through a Chapter Eleven plan. In bankruptcy cases they may testify about valuation, run sale processes for the business, and raise financing to keep it operating.
Day-to-day tasks
- Build liquidity forecasts and debt capacity analyses for distressed companies
- Value businesses and estimate recoveries for each class of creditor
- Design debt exchanges, new money financings and recapitalization plans
- Negotiate with lender groups, bondholders and equity owners
- Run distressed sale processes, including court-supervised auctions
- Prepare expert testimony on valuation in bankruptcy cases
- Coordinate with restructuring lawyers and turnaround consultants
Typical tasks, researched by NueCareer from the sources below.
Working conditions and hours
Restructuring bankers work long, crisis-driven hours in advisory firm offices and in courtrooms and conference rooms during negotiations. Activity rises sharply in recessions and credit downturns. The work is intense, detailed and largely desk based.
