Getting in
How to become an Investment Banking Managing Director
Managing directors are almost always promoted from within banking after a long climb through analyst, associate, vice president and director roles, a path that commonly takes a decade or more. Most start with a bachelor's degree in finance, economics or a related field, and many join at the associate level after an MBA.
Investment bankers who advise on securities transactions must register with FINRA, which usually means passing the Securities Industry Essentials exam and the Series 79 Investment Banking Representative exam after a firm sponsors you. Senior bankers who supervise others often add the Series 24 principal exam. Promotion to managing director depends on proving you can originate revenue and keep major clients, not just execute deals well.

The work
What does an Investment Banking Managing Director do?
Managing directors are the rainmakers of an investment bank. They own relationships with chief executives, boards and private equity firms in an industry or product area, and their main job is to win mandates: advising a company on a sale or acquisition, leading an initial public offering, or arranging debt financing. They pitch ideas, compete against rival banks and negotiate the fee.
Once a deal is won, the managing director sets strategy and handles the most sensitive conversations, such as price negotiations, board presentations and moments when a deal is about to fall apart. Junior bankers do the modeling and documents, and the managing director reviews their work and keeps the client confident. They are measured mainly on the revenue they bring in.
Day-to-day tasks
- Pitch merger, acquisition and financing ideas to chief executives and boards
- Win advisory and underwriting mandates and negotiate fees
- Lead negotiations on price and terms during live transactions
- Present to client boards and special committees
- Review valuation analysis and offering documents prepared by deal teams
- Coordinate with capital markets, legal and risk teams across the bank
- Develop and mentor junior bankers
Typical tasks, researched by NueCareer from the sources below.
Working conditions and hours
Managing directors work from bank offices in New York and other financial centers and travel heavily to client meetings. Hours are long and client driven, with frequent evening and weekend calls during live deals. The job is relationship heavy and largely sedentary.
