What does a Public Company General Counsel do?
The general counsel of a public company is a member of the executive team and the company's most senior lawyer. They oversee everything from securities filings and shareholder meetings to litigation, regulatory investigations, contracts, intellectual property, employment law and acquisitions, and they decide when to handle work in house and when to hire outside law firms.
At public companies the role carries extra weight because of securities law. The general counsel often also serves as corporate secretary, advises the board and its committees on governance, works with the CFO on SEC disclosure, and is one of the named executive officers whose pay is disclosed in the company's annual proxy statement.
