M&A attorneys represent companies and investors when businesses are bought, sold or combined. They help structure the deal, negotiate the merger or purchase agreement, run legal due diligence on the target, and coordinate specialists in tax, antitrust, employment, intellectual property and financing.

For public company deals the work also involves advising boards on their fiduciary duties, preparing proxy and tender offer documents, and handling shareholder litigation risk.
